DTN Addendum – Energy Services

The additional terms set forth in this Addendum apply to DTN’s Energy products and services (collectively, the “Service”) including (without limitation): Messaging, FuelSellerTM, Price AdminTM, TIMS, PetroEx, Partner Insights, and TABS services, including any add-on modules or features/functionality to the foregoing (including, without limitation, TABS Allocation Viewer (Classic and Contemporary), Enhanced Credit Module, Load Assistance Dashboard, Supply Event Module, Terminal Viewer, Forecast Module, Forecast Viewer, Planned Movement/Pickup Module, TABS BOL Push, Fuel Admin, and associated APIs). For avoidance of doubt, the Service includes any combination or bundle of products or services providing the same or similar functionality, which may be referred to or marketed under names like DTN Fuel Operations Hub.
1. | DTN Messaging (“Messaging”) consists of the electronic transmission services for transmitting various types of information from Customer to Third Parties when and as requested by Customer locations. For the purposes of this Addendum, “Third Parties” means any third party that Customer designates to receive any information from Customer. |
2. | DTN Terminal Administration and Billing System (“TABS”) provides Customer with the ability via the Internet to monitor and control product allocations, manage third party credit or accounts, and transmit/receive bill of lading (BOL) data. |
3. | DTN Terminal Inventory Management System (“TIMS”) provides Customer with the ability to aggregate and receive formatted pipeline and terminal data feeds, including (without limitation) pipeline tickets, transportation schedules, inventory data and balances, in a selected standard format. |
4. | DTN Petroleum Product Exchange (“PetroEx”) consists of an Internet based data exchange application using the PIDX standardized record formats to transmit bill of lading (BOL), pipeline tickets, product transfer order and inventory data. |
5. | DTN FuelSellerTM (“FuelSeller”) provides Customer with the ability to optimize and execute rack price decisions by integrating market price discovery, client business intelligence, and/or various pricing strategies. |
6. | DTN Price AdminTM (“Price Admin”) provides Customer with the ability to authorize and send price messages to third parties, and export price files to facilitate integration into Customer’s billing, accounting, or ERP system. |
7. | DTN Partner Insights (“Partner Insights”) provides Customer with the ability to collect and share data (such as carriers, drivers, and vehicles) necessary to facilitate operations with supply chain partners via a single point-management of the data with automated distribution to terminal systems along with integration capabilities to other systems via available APIs. |
8. | For purposes of this Addendum, the term “Transaction Data” means, collectively, BOL data, pipeline and terminal data information, and product order and inventory data (as applicable). Transaction Data will be collected, transmitted, and monitored as specified by the Customer. |
9. | In order to utilize the Service, Customer (and each applicable Third Party) shall be responsible for obtaining and maintaining any equipment, devices, software, hardware, or other ancillary services necessary to connect to, access, or otherwise use of the Service. |
10. | The establishment, maintenance, and termination of any contracts, and the terms and conditions thereof, between Customer and any other party using the Service are the sole responsibility of Customer and such other party. Neither DTN nor Customer is an agent or representative of the other. Neither DTN nor Customer has the right or authority to create, assume, or incur any liability or obligation of any kind on behalf of or in the name of the other. In no event will this Agreement or the provision or use of the Service be deemed to create or imply any right of either party to create, assume, or incur any liability or obligation of any kind on behalf of or in the name of the other. |
11. | DTN EXPRESSLY DISCLAIMS ANY WARRANTY, REPRESENTATION, OR OPINION, WHETHER EXPRESS OR IMPLIED, AS TO THE LEGAL ENFORCEABILITY OR ADMISSIBILITY AS EVIDENCE OF ANY RELATIONSHIP INTO WHICH CUSTOMER ENTERS OR COMMUNICATION WHICH CUSTOMER EXCHANGES THROUGH USE OF THE SERVICE. |
12. | Customer grants DTN the right to: a) disclose that Customer uses the Service to third parties that potential users of the Service for the purpose of facilitating use of the Service by such third parties; b) distribute the Transaction Data to other parties of the transaction (Customer’s customer, Customer’s carrier, etc.); and, c) to use the Transaction Data in aggregated analysis (where Customer remains anonymous). |
13. | Customer acknowledges that the successful implementation of the Service may be contingent upon the permission, cooperation, and collaboration of Customer’s terminal partners/hosts (each, a “Supply Partner”). When applicable, discussions with Customer’s Supply Partners will be initiated by Customer and Customer will introduce DTN and the objectives of the transaction to the Supply Partners in order to secure permission to share Transaction Data (or such other data as requested by Customer) in a mutually acceptable electronic format with DTN. DTN cannot and does not warrant or assume responsibility for a Supply Partner’s (or any third party’s) inability or unwillingness to transmit data to DTN. Customer may be required to assist DTN in on-going Supply Partner engagement should a Supply Partner become unresponsive. Fees that may be associated with retrieval of Customer-requested data (including, without limitation, Transaction Data) from a Supply Partner may be passed through to Customer as invoiced to DTN. |
14. | Customer further acknowledges that the Service to be provided by DTN hereunder may require Customer to provide DTN with certain data (which may include Transaction Data) (the “Customer Data”), in which case Customer shall provide such Customer Data in the format specified by DTN unless otherwise specified in the applicable Order. DTN may, from time-to-time, request that Customer modify the specifications of the Customer Data in order to ensure the functionality of the Service, and Customer will use commercially reasonable efforts to comply with such request. Customer grants DTN the right to disclose the Customer Data to such third parties as requested or approved by Customer, or as otherwise necessary to provide the Service. DTN shall bear no liability arising from or relating to Customer’s failure to supply Customer Data in accordance with DTN’s specifications. |
15. | Customer acknowledges that any services or data provided to Customer by DTN pursuant to the Service are for informational purposes only and are not represented or warranted to be accurate, complete, or otherwise error-free. The Service is based, in whole or in part, on data provided by third parties. DTN cannot and does not warrant or assume responsibility for the accuracy or completeness of any portion of the Services or Transaction Data provided to Customer based on third party data. |
16. | The Service is not designed or intended to serve as a replacement for Customer’s own information and document retention systems. Customer acknowledges that DTN makes no representations or warranties as to the length of any retention period for any Transaction Data provided or made available through the Service, or otherwise with respect to Customer’s ability to retrieve or access any such Transaction Data through the Service. In most circumstances, a maximum of twenty-four (24) months of Transaction Data will be stored for active retrieval by the Customer using the Service. Thereafter, DTN may (but shall have no obligation) to archive Transaction Data for a period of up to thirty-six (36) months, which archived data will be retrievable only through a billable request to DTN, at then-current rates. |
