DTN Addendum – AI Features

The following additional terms apply to any use of DTN’s AI Features, as defined herein:

Definitions. Capitalized terms not otherwise defined in this Addendum have the meaning set forth in the Terms of Service. For purposes of this Addendum, the following terms have the meanings set forth below:
1. “Actions” means any automated or semi-automated tasks that AI Features perform on behalf of Customer or in response to Customer’s instructions or requests.
2. “AI Features” means generative and agentic artificial intelligence features that DTN makes available as part of the Services and Equipment.
3. “Output” means any content generated by AI Features in response to Customer’s input.
Usage Limits. If the Order stipulates a maximum amount of data or tokens that Customer is authorized to process using AI Features, Customer agrees to abide by such limits, and shall not attempt to in any way circumvent these. In the event that Customer would like to increase its use of the AI Features beyond these limits, Customer must obtain DTN’s prior written consent.
Additional Restrictions on Use. In addition to the Restrictions on Use in the Terms of Service, any other applicable Addenda, and the Order, Customer shall not take any of the following actions with AI Features: (i) enter any prompt that violates any applicable law or the rights of any third party, including but not limited to intellectual property and privacy rights; (ii) any action that is intended, or would reasonably be expected, to generate Actions or Outputs that violate any applicable law or the rights of any third party; (iii) distribute malware or spam; (iv) intentionally poison data, compromise model performance, or enter commands that include malicious instructions; (v) track people without consent; (vi) intentionally create false, misleading, or deceptive Outputs; (vii) mine cryptocurrency; (viii) use AI Features, Actions, or Outputs to train, develop, or improve other artificial intelligence models that are not provided by DTN; (ix) represent that Actions or Outputs are solely human generated or approved by DTN; (x) cause or permit any third-party autonomous systems or machines to operate the AI Features without the express written consent of DTN; and (xi) otherwise abuse or misuse AI Features as determined by DTN in its reasonable discretion. In addition to any other rights and remedies under the Agreement, DTN may, in its sole discretion, suspend Customer’s access to AI Features if DTN determines that Customer has violated any of the restrictions on use in this Addendum, the Terms of Service, any other applicable Addenda, or the Order. DTN will promptly restore Customers access to AI Features upon a satisfactory resolution of the incident which gave rise to the suspension, if such incident is capable of resolution. If DTN determines that Customer has engaged AI Features to violate applicable law, DTN may, but is under no obligation to, remove any unlawful or illegal prompts, Actions, and Outputs; notify third parties, including law enforcement; and provide those third parties with data and any other information relating to Customer’s usage.
Ownership. Customer may use Outputs in accordance with the Agreement. Customer acknowledges that (i) Outputs might not qualify for intellectual property protection; (ii) Outputs might not be unique; and (iii) Customer’s rights to Outputs might not be enforceable. As between Customer and DTN, Customer retains all ownership of Customer Data contained in Outputs. As between Customer and DTN, DTN retains all ownership of Licensed Data, Documentation, and derivative works thereof contained in Outputs.
Warranty Disclaimer. Customer acknowledges that DTN provides AI Features as a courtesy to enhance user experience, and Customer accepts that DTN makes no guarantee or warranty as to the accuracy, completeness, or reliability of Actions and Outputs. Customer is solely responsible for its use of Actions and Outputs and any results or consequences arising therefrom.
Indemnity Disclaimer. Notwithstanding Section 9.2 of the Terms of Service, DTN (including its directors, officers, employees, licensors, suppliers, agents, successors and assigns) has no obligation to defend, indemnify, or hold harmless Customer, or any unaffiliated third-party, from or against any claim (including but not limited to alleged infringement) arising from or related to Actions or Outputs. Customer acknowledges that it has no right to be indemnified against damages, costs, expenses, or liabilities resulting from Actions or Outputs.
Release. Customer and its successors, assigns, stockholders, officers, directors, parents, subsidiaries, and agents hereby release DTN and its predecessors, successors, assigns, officers, directors, parents, subsidiaries, agents, insurers, and attorneys from any and all rights, claims, actions, and demands of every kind and nature (including claims of negligence), legal or equitable, known or unknown, suspected or unsuspected, past, present, or future, that arise out of or relate to Customer’s use of Actions or Outputs. The foregoing release does not limit DTN’s liability for (i) fraud; (ii) its own gross negligence, recklessness, or willful misconduct; (iii) its own violation of applicable law; or (iv) any other liability that cannot be released under applicable law.
Survival. The terms in this Addendum will survive termination or expiration of the Agreement.
